Jonathan advises clients on their new business entity formation – C Corp, S Corp, Partnership, limited liability company, Not-For-Profit corporations. He drafts shareholder agreements, partnership agreements and limited liability company operating agreements. Jonathan handles corporate governance matters and documentation. He counsels boards and officers on their fiduciary duties.

Jonathan also has a great deal of experience in drafting various types of contracts, including employment; vendor and supplier agreements; customer contracts (master service agreements and statements of work); license agreements; consulting and independent contractor agreements; confidentiality and non-compete and non-solicitation agreements; debt and equity financing; and software as service agreements.

We also have experience in representing businesses before Illinois' various administrative agencies such as the Illinois Department of Labor, Illinois Department of Transportation, and the Illinois Human Rights Commission.
